1. Definitions
Company means Refined Design South East Ltd trading as Refined Design.
Customer means the person, company or organisation entering into a contract with the Company.
Contract means the quotation, drawings, specifications, plans and these Terms and Conditions.
Works means all services, installations, labour, products, materials and associated works supplied by the Company.
KBB Projects means kitchens, bedrooms, fitted furniture, home offices, utility rooms, bathrooms, cloakrooms, ensuites, worktops and associated installations.
Bespoke Products means any product made, modified, configured, ordered or manufactured specifically to the Customer's requirements.
Practical Completion means the stage at which the installation is substantially complete and capable of normal use.
2. Quotations and Acceptance
2.1 All quotations are free of charge and without obligation.
2.2 Quotations remain valid for 30 days unless stated otherwise.
2.3 The Company reserves the right to amend or withdraw quotations prior to acceptance.
2.4 Acceptance may be made by:
- Signature of a quotation or contract.
- Email confirmation.
- Electronic approval.
- Payment of a deposit.
- Written or verbal instruction to proceed.
2.5 Upon acceptance, a legally binding contract shall exist between the Customer and the Company.
3. Free Quote Comparison Service
The Company is happy to compare quotations obtained from alternative suppliers on a like-for-like basis to ensure fair comparison of:
- Products.
- Installation standards.
- Specifications.
- Warranties.
- Scope of works.
4. Site Surveys and Measurements
4.1 All quotations are subject to a final site survey.
4.2 Preliminary drawings and layouts are indicative only.
4.3 The Company reserves the right to amend designs, measurements, specifications and prices where site conditions differ from information originally supplied.
4.4 The Customer is responsible for ensuring information provided to the Company is accurate.
4.5 Additional costs arising from inaccurate information may be chargeable.
5. Design Services and Intellectual Property
5.1 All designs, plans, CAD drawings, renders, specifications and technical drawings remain the property of the Company.
5.2 Designs may not be copied, reproduced, shared or used by third parties without the Company's written consent.
5.3 Design fees are non-refundable once design work has commenced.
6. Electrical Installations
6.1 It is assumed the existing electrical installation is suitable and compliant for the proposed works.
6.2 Should additional works be required including:
- Consumer unit upgrades.
- Earthing or bonding upgrades.
- Rewiring.
- Additional circuits.
- Electrical testing.
- Remedial works.
These shall be chargeable as additional works.
6.3 Such works are excluded unless specifically included within the quotation.
7. Plumbing and Heating Installations
7.1 It is assumed the existing plumbing and heating systems are suitable for the proposed works.
7.2 If defects become evident including:
- Leaks.
- Corrosion.
- Inadequate pipework.
- Unsafe installations.
- Non-compliant systems.
The Company shall notify the Customer and provide a separate quotation.
7.3 Such remedial works are not included unless expressly stated.
8. Hidden Defects
8.1 During the works hidden defects may become apparent including:
- Damp.
- Rot.
- Structural defects.
- Water damage.
- Defective wiring.
- Defective plumbing.
- Uneven walls.
- Uneven floors.
- Asbestos-containing materials.
8.2 Any additional works required as a result shall be chargeable separately.
9. Existing Walls, Floors and Structures
The Company accepts no responsibility for existing:
- Uneven walls.
- Uneven floors.
- Structural movement.
- Hidden services.
- Concealed defects.
Additional works required to rectify such conditions shall be chargeable.
10. Building Works and Third Party Trades
Unless specifically included, quotations exclude:
- Structural engineering.
- Planning fees.
- Building control fees.
- Party wall matters.
- Structural calculations.
- Roofing works.
- Major plastering works.
The Company shall not be liable for delays caused by third-party contractors.
11. Customer Supplied Goods
11.1 Where products are supplied by the Customer:
- No responsibility is accepted for incorrect sizing.
- No responsibility is accepted for defects.
- No responsibility is accepted for delays.
- Additional labour may be chargeable.
11.2 No warranty applies to Customer supplied goods.
12. Bespoke Products
12.1 Kitchens, bedrooms, bathrooms, fitted furniture, wardrobes, worktops and associated products are typically bespoke products.
12.2 Bespoke products are manufactured or ordered specifically to the Customer's requirements.
13. Consumer Contracts Regulations
13.1 Under Regulation 28(1)(b) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, bespoke goods manufactured to a Customer's specification are exempt from standard cancellation rights once manufacture or procurement has commenced.
13.2 The Customer acknowledges this exemption applies to bespoke products ordered through the Company.
14. Deposits and Stage Payments
Supply Only
- 50% Deposit with Order.
- 50% Balance prior to collection or delivery.
Supply and Installation – Kitchens, Bedrooms & Bathrooms
- 50% Deposit with Order.
- 40% Upon Delivery of Goods to Site.
- 10% Upon Practical Completion.
Plumbing, Heating & Gas Works
Payment terms shall be specified within the quotation.
14.1 All stage payments are contractual payment dates.
14.2 Payments may not be withheld due to minor snagging items.
15. Cancellation Before Manufacture
The Company reserves the right to retain reasonable sums covering:
- Design work.
- Surveys.
- Administration costs.
- Supplier charges.
- Losses incurred.
Where cancellation occurs before manufacture or procurement has commenced.
16. Cancellation After Manufacture
16.1 Once manufacture, production or procurement has commenced:
- Deposits become non-refundable.
- Orders may not be cancelled.
- The Customer remains liable for products ordered.
- Supplier cancellation charges remain payable.
16.2 The Company reserves the right to recover all losses reasonably incurred.
17. Customer Delays
Where delays arise due to:
- Lack of access.
- Building works not being completed.
- Delayed selections.
- Delayed instructions.
- Non-payment.
The Company may:
- Suspend works.
- Reschedule works.
- Recover additional costs.
- Reallocate labour.
18. Delivery and Storage
18.1 Risk passes to the Customer upon delivery.
18.2 Ownership remains with the Company until full payment has been received.
18.3 Storage charges may apply where delivery or installation is delayed by the Customer.
19. Worktop Templating
19.1 Worktop templating can only be completed when cabinets are fully installed and level.
19.2 Manufacture cannot commence until templating is complete.
19.3 Amendments requested after templating may incur additional charges.
20. Tile Matching and Product Variations
20.1 Exact colour, batch and pattern matching cannot be guaranteed.
20.2 Natural materials and manufactured products may vary in:
- Colour.
- Grain.
- Texture.
- Veining.
- Pattern.
20.3 Such variations shall not constitute defects.
21. Decorating and Making Good
Unless specifically stated, quotations exclude:
- Painting.
- Decorating.
- Wallpapering.
- Floor finishing.
Any making good shall be limited to areas directly affected by the Company's works.
22. Existing Services
The Company shall not be responsible for existing defects in:
- Plumbing systems.
- Gas systems.
- Heating systems.
- Electrical systems.
- Drainage systems.
Unless directly caused by the Company's negligence.
23. Working Hours
Normal working hours are:
Monday to Friday
8:00am to 5:00pm
Additional charges may apply outside these hours.
24. Customer Attendance
The Customer or authorised representative shall be available to make necessary decisions during the installation period.
Delays caused by unavailable decisions may result in additional costs.
25. Practical Completion and Snagging
25.1 Practical Completion occurs when the installation is substantially complete and fit for normal use.
25.2 Minor snagging items shall not prevent Practical Completion.
Examples include:
- Door adjustments.
- Silicone finishing.
- Trim replacement.
- Cosmetic touch-ups.
25.3 Final payment becomes immediately due upon Practical Completion.
25.4 Snagging items shall be completed within a reasonable timeframe.
26. Manufacturer Responsibility
26.1 Products supplied may be manufactured by third parties.
26.2 Where manufacturing defects occur:
- The manufacturer shall determine the remedy.
- The Company will assist with warranty claims.
- Liability shall be limited to the manufacturer's remedy.
26.3 The Company shall not be liable for manufacturer delays or shortages.
27. Warranties
27.1 Installation workmanship is guaranteed for 12 months from completion.
27.2 Manufacturer warranties remain subject to the manufacturer's own terms and conditions.
27.3 The Company will provide reasonable assistance with warranty claims.
28. Access, Parking and Site Facilities
28.1 The Customer shall provide suitable site access.
28.2 The Customer shall provide parking where possible.
28.3 The Company reserves the right to recharge:
- Parking charges.
- Parking permits.
- Congestion charges.
- Site access fees.
29. Retention of Title
29.1 Ownership of goods remains with the Company until payment is received in full.
29.2 The Company reserves the right to recover unpaid goods where legally permitted.
30. Payment Default
30.1 Failure to make payment when due entitles the Company to:
- Suspend works.
- Delay future installation dates.
- Remove labour from site.
- Recover associated costs.
- Commence debt recovery proceedings.
30.2 Interest may be charged on overdue sums at 8% above the Bank of England base rate.
31. Insolvency
If the Customer enters:
- Bankruptcy.
- IVA.
- Liquidation.
- Administration.
The Company may terminate the Contract and recover reasonable costs incurred.
32. Force Majeure
The Company shall not be responsible for delays caused by circumstances beyond its reasonable control including:
- Supplier shortages.
- Manufacturing delays.
- Severe weather.
- Flooding.
- Fire.
- Industrial action.
- Transport disruption.
- Utility failures.
Completion dates shall be extended by a reasonable period.
33. Photography
The Company reserves the right to photograph completed installations for:
- Quality control.
- Warranty records.
- Marketing.
No personal information shall be published without consent.
34. Limitation of Liability
34.1 The Company's total liability shall not exceed the value of the Contract.
34.2 The Company shall not be liable for:
- Loss of profit.
- Loss of earnings.
- Business interruption.
- Consequential losses.
- Alternative accommodation costs.
34.3 Nothing shall limit liability for death or personal injury caused by negligence.
35. Complaints Procedure
35.1 Complaints should be submitted in writing to:
35.2 The Company shall be given reasonable opportunity to inspect and rectify any issue.
36. Dispute Resolution
Both parties shall use reasonable endeavours to resolve disputes amicably before commencing legal proceedings.
37. Entire Agreement
The quotation, drawings, specifications and these Terms and Conditions constitute the entire agreement between the parties.
No verbal statements shall form part of the Contract unless confirmed in writing.
38. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
The Courts of England and Wales shall have exclusive jurisdiction.
39. Acceptance of Terms
By:
- Signing a quotation;
- Signing a contract;
- Paying a deposit;
- Accepting electronically;
- Providing written instruction to proceed; or
- Allowing works to commence;
The Customer confirms that they have read, understood and accepted these Terms and Conditions.
